All visitors and purchasers must read and agree to these Terms and Conditions, which clarify the rights and obligations of Sow Local Seeds (“Sow Local Seeds” or “we” or “us”) and its online shop customers and website visitors (“you”).

Please read these Terms of Use carefully. By using or accessing the Sow Local Seeds Website and Online Shop (the “Site”), you agree to these Terms of Use.

Online Order Payments

All online sales must be made using our online shop checkout which is powered by Stripe. Sow Local Seeds accepts payment from credit cards. E-Transfers are accepted, with orders being held until the transaction is complete and verified. Acceptance of orders is subject to credit card verification procedures. We reserve the right to cancel an order if it does not meet our credit card verification standards or if the E-Transfer does not deposit into our account within 48 hours of order placement.

Once an order is submitted, Sow Local Seeds cannot change, modify or combine an order. Sow Local Seeds cannot change a method of payment once the order has been submitted.

In-Person Purchases

Sow Local Seeds accepts cash and E-Transfers as payment methods at in-person events and markets only. We reserve the right to hold your products until we have confirmation that the E-Transfer has been deposited into our account.

International Orders

Sow Local Seeds does not offer international shipping.

Pricing And Taxes

All prices are in Canadian Dollars (CAD) and include a Harmonized Sales Tax (HST) of 15% as per the requirements of the Province of Nova Scotia. Tax rates are calculated based on the shipping address you enter during Checkout.

Although Sow Local Seeds aims to provide accurate product and pricing information, errors and omissions may occur. Sow Local Seeds reserves the right to correct any errors in pricing or product information and to change the prices of products at any time, without prior notice. If there is an error in pricing, Sow Local Seeds reserves the right to refuse or cancel your order, to reverse any charges that have been applied and to contact you to request the placement of a new order at the correct price.

Seed Germination

All the seeds we offer in our shop are tested annually to ensure germination rates that exceed the federal minimums as laid out in the Canada Seed Act.

Our seeds will germinate if the growing instructions we provide are followed. For best results, please refer to the growing instructions on our seed packets, our online grow guides and garden resources (coming soon). We have found that many seed starting problems can be remedied by proper planning and an appropriate setup (ex: heat mats for heat-loving varieties). Starting with high-quality potting mix and providing adequate amounts of light, water, and consistent temperatures are important steps to successful seed starting.

Incorrect Orders

If you receive an incorrect order, please contact us immediately and we will correct our mistake. Thank you for your patience with human errors.

Returns, Replacements And Refunds

If your seeds do not perform after following our detailed instructions, please contact us immediately for support. We do not accept the return of seed packets. We work with customers on a case-by-case basis towards solutions of replacement or refund in the form of store credit.

Our guarantee is limited to the purchase price of the seed only. Shipping costs are non-refundable. Requests for refunds or replacements must be made within 30 days of purchase. Contact us using the contact form as soon as an issue arises.

Shipping Damage And Delivery

Sow Local Seeds is not liable for any damage or loss resulting from shipping or from crop failure, as once we hand parcels over to Canada. Post, they are out of our control. We cannot guarantee delivery as a result.

Note that since the Covid19 Pandemic, Canada Post has not been guaranteeing delivery times. Check with Canada Post for up to date information on their services.

Notices And Newsletter

When you create an account and/or place an order with Sow Local Seeds and/or this Site, you expressly consent to receive email correspondences from Sow Local Seeds.

When you subscribe to the Sow Local Latest monthly newsletter, you consent to receive email correspondences from Sow Local Seeds communicating reports, documentation, discounts, product promotions, announcements and notices.

Privacy And Security

Please refer to Sow Local Seeds’ Privacy Policy for more information on how your information may be protected, collected, used and shared.

Third-Party Services

Sow Local Seeds shall not be responsible for any problems caused by third-party websites or service providers (including, for example, your web service provider service, your software and payment services). The agreement between you and that provider governs any such problems.

Amendments

We reserve the right to make changes to these Terms and Conditions at any time, without notice to you. You are responsible for regularly reviewing this website for any updates, which will be posted on this page.

Proprietary Rights

Unless otherwise expressly authorized by us in writing, you agree not to copy, modify, distribute, sell, create a derivative of our content. You agree not to remove any proprietary notices or labels on our content. You agree not to allow another person or entity to engage in any of the above activities. Content includes all materials and content, including designs, editorials, text, graphics, multimedia elements, photographs, reports, documents and any other work.

Advertising

We reserve the right to insert advertising into our website without notice to you, so long as it does not contradict the terms of information use set out in our Privacy Policy.

Disclaimers And Limits Of Liability

You, the customer, agree that the use of the Site is at your own risk; that the Site may contain links to other websites and that the links to do represent endorsement or verification by us of the linked websites or the information provided there; that the Site is available on an “as is”, “as available” basis to you.

Except as expressly provided in these Terms of Use, Sow Local Seeds makes no representation, guarantee, or warranty, either express or implied, regarding the use of the Site or the products sold through its online store, including their merchantability or fitness for any particular use. In no event shall Sow Local Seeds be liable for any special, incidental, indirect, punitive, reliance or consequential damages, whether foreseeable or not, including, but not limited to, damage or loss of property, equipment, information or data, loss of profits, revenue or goodwill, cost of capital, cost of replacement services, or claims for service interruptions or transmission problems, occasioned by any defect in the Site and/or related materials, the inability to use services provided hereunder or any other cause whatsoever with respect thereto, regardless of theory of liability. This limitation will apply even if Sow Local Seeds has been advised or is aware of the possibility of such damages.

Indemnities

You agree to indemnify and hold Sow Local Seeds and each of its members, managers, suppliers, distributors, agents and employees, harmless from any and all liabilities, claims, damages and expenses, including reasonable attorney’s fees, arising out of or relating to (i) your breach of these Terms of Use, (ii) any violation by you of law or the rights of any third party, (iii) your use of the Site or any services that we may provide via the Site, and (iv) your conduct in connection with the Site. Sow Local Seeds reserves the right to assume the exclusive defence of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide us with such cooperation as may be reasonably requested.

Dispute Resolution

In the event of a dispute arising under or relating to these Terms of Use or the Site (each, a “Dispute”), either party may elect to finally and exclusively resolve the dispute by binding arbitration in Nova Scotia, Canada, governed by the Federal Arbitration Act (“FAA”). Any election to arbitrate, at any time, shall be final and binding on the other party. Discovery and appeal rights may be limited in arbitration. You agree that you may only bring claims against us in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Notwithstanding the foregoing, nothing in these Terms of Use will prevent Sow Local Seeds from seeking injunctive relief in any court of competent jurisdiction as necessary to protect our proprietary interests.

Governing Law

These Terms of Use shall be governed by the laws of the Province of Nova Scotia. The exclusive jurisdiction for any claim, action or dispute with Sow Local Seeds or relating to your use of the Site will be in the Provincial and Federal courts of the Province of Nova Scotia. The Site is based in Canada, and we make no claims concerning its accessor use outside of Canada. If you access the Site from outside of Canada, you do so at your own risk. Whether inside or outside of Canada, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.

Force Majeure

If by reason of Force Majeure, Sow Local Seeds is delayed or unable, in whole or in part, to perform or comply with any of its obligations under these Terms and Conditions, then it shall be relieved of liability and shall suffer no prejudice for failing to perform to the extent that the inability was caused by Force Majeure. In the event of a Force Majeure, Sow Local Seeds shall use commercially reasonable efforts to remedy the situation and remove the cause of its inability to perform. “Force Majeure” means any event beyond the reasonable control of Sow Local Seeds, including an event of: fire, flood, earthquake, element of nature; third party failures or delays; Internet and/or telecommunications disruptions or failures; acts of war, terrorism, rebellions or revolutions in Canada; riots, civil disorders or disobedience; acts of vandalism or other unlawful acts; or any other similar events.

Termination

Sow Local Seeds reserves the right, at its sole discretion, to terminate your access to all or any part of the Site, with or without notice.

The headings used herein are inserted for convenience of reference only and do not affect the construction or interpretation of the Terms and Conditions herein.

General Terms

Our failure to act on or enforce any provision of the Agreement shall not be construed as a waiver of that provision or any other provision in these Terms of Use. You acknowledge that you have read this agreement, that you understand it and that you are bound by its terms and conditions. You acknowledge that this agreement represents the complete and exclusive statement of the agreement between us and that it supersedes any proposal or prior agreement oral or written and any other communication between us relating to the subject matter of this agreement.
